Dittmar Rechtsanwälte has advised AOE GmbH in aninvestment of EUR 13 million from LEA Partners.

The investment represents the first of its kind for AOE GmbH and is supposed to expand the OM3 Airport Suite and to further accelerate the company’s growth of currently more than 40 percent year-over-year.

Dittmar Rechtsanwälte (Dr Falko Dittmar) has advised AOE GmbH on the legal aspects of the transaction.

Dr Falko Dittmar advised AOE GmbH in the acquisition of all shares in AIJKO GmbH and the subsequent integration of AIJKO GmbH in AOE GmbH.

AOE GmbH with headquarters in Wiesbaden, Germany, is a leading global provider of open source enterprise web solutions. Dr. Falko Dittmar advised the main shareholders of Delticom AG, Binder GmbH and Prüfer GmbH, in the sale of 500.000 Delticom-Shares to Rally GmbH, a 100% subsidiary of European Media Holding AG (EMHAG).

The sale is intended to be completed within the next weeks. In addition, Binder GmbH and Prüfer GmbH granted options to Rally GmbH to purchase up to further 1.634.697 Delticom-Shares. The exercise of the options is dependent on specificfuture and uncertain conditions. The average price of the Delticom-Shares sold and of the strike price of the Delticom-Shares for which Rally GmbH was granted options is between 34 € and 40 €.
